IACL - by-laws

BY-LAWS

The present By-laws were adopted by the Executive Committee as proposed by the Secretary General, in conformity with article 16 of the Statutes.

TITLE I

Election of members


Art. 1. The election of titular and associate members shall take place according to the conditions provided for under articles 8 and 9 of the Statutes.

Art. 2. Candidates for election may also be proposed by a titular or associate member, or by a National Committee of the Academy.

Art. 3. Any proposal for election, whether in accordance with articles 8 and 9 of the Statutes or in accordance with article 2, above, of the By-Laws, must be accompanied by a file containing a written statement of support of membership, a curriculum vitae of the candidate and a list of publications of the candidate.

Art. 4. According to the procedure of article 2 of the By-Laws, proposals for election should be, prior to nomination, notified to the Executive Committee of the Academy which may, within a reasonable time, make any comment on a candidacy to the person or the committee having proposed the candidate in question.

Art. 5. Elections may take place every year under conditions to be set down by the Secretary-General.

Art. 6. Prior to each election, the names, curricula vitae, lists of publications and written statements of support of each candidate shall be made available on a restricted website maintained by the Academy at least one month prior to the time of election. Members who do not have access to the restricted website may notify the Secretary-General and request to have these materials sent to them by mail.

Art. 7. Balloting shall take place by correspondence under conditions to be set down by the Secretary-General. However, in years of a quadrennial International Congress of Comparative Law, balloting may also take place in person at the General Assembly of the Academy.
Ballots shall be secret.

In determining whether the majority required under articles 8 and 9 of the Statutes is satisfied, an abstention shall not be counted as a vote.


TITLE II

Dues

Art. 8. The amount of dues shall be decided by the Secretary-General in consultation with the
Executive Committee.

Art. 9. If a member fails to pay his or her dues, he or she shall be reminded by the Treasurer and be given an extension of time by which to pay them. If a member fails to pay by the time of the extended deadline, the matter shall be referred to the Executive Committee which may take appropriate actions, including the suspension of the right to vote and to receive information.

TITLE III

Executive Committee

Art. 10. The Executive Committee referred to in article 11 of the Statutes shall convene, in person or by correspondence, as appropriate, at least once a year to discuss the activities and administrating operations of the Academy.

Art. 11. The Executive Committee, upon proposal by the Secretary-General, shall appoint a Deputy Secretary-General, who shall assist the Secretary-General and the Executive Committee in management of the Academy’s affairs. The Deputy Secretary-General has not the capacity to represent the Academy.

TITLE IV

Groups

Art. 12.
The groups provided for under article 7 of the Statutes shall be headed by a Board including a President and, where possible, up to two Vice-Presidents. The Presidents of groups shall be elected by the General Assembly of titular members on the occasion of the quadrennial International Congress of Comparative Law according to the conditions provided for under article 11 of the Statutes.

The Vice-Presidents are named by the Executive Committee.

TITLE V

National Committees

Art. 13. A National Committee of the Academy shall, to the extent feasible, be established in each country.

Art. 14. Each National Committee shall be freely constituted, using, where possible, existing national institutions.
It shall be the function of the Executive Committee to recognize the committee, and also, under conditions to be set down by the Secretary-General, to withdraw such recognition.

Art. 15. The Committees shall propose topics for the quadrennial International Congresses of Comparative Law to the experts provided for by article 10 of the Statutes. They shall also designate national reporters and publish national reports.
The National Committees shall participate, along with the Executive Committee, in the organization of the Congresses.

TITLE VI

Academy Prize

Art. 16. The Academy may, from time to time, decide to award a prize intended to recognize an original work of scholarship dedicated to comparative law.
It may either award such a prize on its own initiative and with its own funds, or award such a
prize on behalf of an appropriate sponsoring institution. In the latter case, the award shall be made by the Academy in conjunction with the institution sponsoring it.

TITLE VII

Final Provisions

Art. 17. The 1993 By-laws are hereby abrogated.
